1. Acceptance of Terms

1.1. The terms and conditions contained herein apply to all users of EntreStudios, whether a 'visitor,' 'Fan,' or 'Creator.' By using and/or visiting EntreStudios' website (collectively, including all Content and User Submissions available through this website, the 'Website'), you agree to these Terms of Service. These Terms of Service, including the EntreStudios Privacy Policy, which can be found in the Privacy Policy section, and any future amendments (collectively, the 'Agreement'), constitute a legal agreement between EntreStudios and you. If you do not agree to be bound by all of these terms, then do not use this site.

1.2. EntreStudios may, at its sole discretion, modify or revise these terms and conditions and policies at any time, and you agree to be bound by such modifications or revisions. If you do not accept and abide by this Agreement, you may not use the Website.

1.3. Changes will become effective on the 'last update' date stated at the top of this page. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.

2. Use and Description of Services

2.1. You may use our Services for your personal and non-commercial purposes only. EntreStudios is a platform designed for uploading, sharing, and general viewing of various types of content generated by third parties, including adult content. The platform allows registered and unregistered users to share and view visual depictions of adult content, including sexually explicit images and videos, and other materials posted/uploaded by users.

2.2. You agree not to use our Services for any unlawful or prohibited purpose.

2.3. The Website may also contain certain links to third-party websites which are in no way owned or controlled by EntreStudios. EntreStudios assumes no responsibility for the content, privacy policies, or practices of any and all third-party websites. You acknowledge that EntreStudios will not be liable for any and all liability arising from your use of any third-party website.

2.4. EntreStudios grants you a personal, non-exclusive, non-transferable, limited, and revocable license to view the Content and Website subject to the terms of this Agreement.

3. User Obligations and Prohibited Conduct

3.1. Age Requirements: You must be at least 18 years of age and the age of majority in your jurisdiction to use the Services. If you do not meet these age requirements, you must not access the Website and must leave immediately.

3.2. User Certifications: By registering on EntreStudios, you represent and warrant that all account registration, profile information, and content you provide are complete, truthful, and accurate. You are fully responsible for any and all activities that occur on your account.

3.3. Prohibited Conduct: You agree not to engage in any conduct that violates these Terms or our content guidelines, including but not limited to:

·       - Harassment, discrimination, and the dissemination of inappropriate content.

·       - Uploading, transmitting, or displaying any content that is unlawful, infringing, defamatory, obscene, or otherwise objectionable.

·       - Engaging in any activity that promotes or facilitates illegal activities, including but not limited to prostitution and sex trafficking.

·       - Using the platform in any way that violates any applicable law, regulation, or treaty.

3.4. Additional Prohibited Uses for Creators: Creators must act in the best interests of EntreStudios at all times, whether on the platform, on third-party websites, or offline. Specific prohibitions include, but are not limited to:

·       - Deceiving users regarding the nature of any paid content.

·       - Attempting to defraud EntreStudios or users.

·       - Soliciting or accepting payments for travel or in-person meetings for the purpose of engaging in sexual activity.

4. Registration and Account Management

4.1. In order to access features of our Services, you must create an account. During the registration process, you agree to provide accurate, current, and complete information and to keep your account information updated.

4.2. Verification: We may require confirmation of age via photo ID, passport, or other government-issued identification. Any documentation we request for verification of age must be presented.

4.3. Account Security: You are responsible for keeping your login details confidential and secure. You will immediately notify us if you believe someone has used or is using your account without your permission.

4.4. Account Deactivation: You may request to deactivate your account by reaching out to us through “Contact Us” section and put in the subject line “deactivate account.” It takes up to 48 hours to process an account deactivation request.

5. Content Guidelines and Intellectual Property

5.1. User Content: You are solely responsible for any content that you upload, transmit, or display on or through our Services ('User Content'). You retain all ownership rights in your User Content, but by posting on the platform, you grant us a worldwide, perpetual, non-exclusive, royalty-free license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content for EntreStudios' business purposes.

5.2. Prohibited Content: You agree not to upload, transmit, or display any User Content that:

·       - Depicts child sexual abuse material (CSAM) or any form of non-consensual or illegal content.

·       - Promotes or facilitates prostitution, sex trafficking, or any other illegal activities.

·       - Violates any third-party rights, including intellectual property and privacy rights.

5.3. Intellectual Property: All intellectual property rights in our Services, including but not limited to copyrights, trademarks, and trade secrets, are owned by EntreStudios or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use our Services for your personal and non-commercial use.

6. Payment, Fees, and Refunds

6.1. Payment Obligations: Certain features of our Services may require payment of fees. By accessing or using these features, you agree to pay all applicable fees and charges.

6.2. Payouts to Creators: Creators earn 80% percentage of the revenue generated from subscriptions, sales, or tips related to their content. Creators must add a valid payout method before payments will be issued. Payouts will take place automatically, every Friday. If a federal holiday lands on a Friday, the payout will occur the following business day

6.3. Refund Policy: Purchases are final and non-refundable.

6.4. Chargebacks: If a Fan successfully seeks a refund or chargeback from their credit card provider, EntreStudios may investigate and may decide to deduct from the Creator's account an amount equal to the Creator Earnings earned on the charged-back or refunded amount.

7. Privacy and Security

7.1. Privacy Policy: Our Privacy Policy governs the collection, use, and disclosure of your personal information. By accessing or using our Services, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.

7.2. Data Security: We take reasonable measures to protect the security of your data, but we cannot guarantee that unauthorized third parties will never be able to defeat our security measures.

7.3. Law Enforcement: We fully cooperate with law enforcement authorities or orders from courts of competent jurisdiction, requesting or directing us to disclose the identity or location of any user in breach of these Terms.

8. Dispute Resolution

8.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflicts of law principles.

8.2. Arbitration: Any dispute arising out of or in connection with these Terms shall be resolved through binding arbitration in Maricopa County, Arizona.

8.3. Class Action Waiver: All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

8.4. Limitation on Time to Bring Claims: A party will not file a claim arising out of or relating to the Services or these Terms more than one year after the cause of action arose. Any claim brought after one year is barred.

9. Termination

9.1. EntreStudios reserves the right to suspend or terminate your access to our Services at any time, with or without cause, and without prior notice.

9.2. Upon termination, your right to access and use our Services will cease immediately. EntreStudios shall not be liable to you or any third party for any termination or suspension of your access to the Services.

10. Revenue Share Payout

10.1. Creators may earn additional streams of revenue through our unique revenue share program. Any creator who signs up will be automatically enrolled in our revenue share program. A creator may opt-out by reaching out to us via “Contact Us.”

10.2. The revenue share policy is located in the 'Revenue Share Rider' at the footer of the EntreStudios website or by clicking Revenue Share Rider.

11. Limitation of Liability

11.1. In no event shall EntreStudios be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, arising out of or in connection with your use of our Services.

12. Miscellaneous

12.1. Force Majeure: EntreStudios is not responsible for any failure to perform if unforeseen circumstances or causes beyond its reasonable control delay or continue to delay its performance.

12.2. No Third-Party Beneficiaries: These Terms do not confer any rights or remedies on any person other than the parties to this agreement.

12.3. Severability: If any provision of these Terms is held to be unenforceable, then that provision will be modified to the minimum extent necessary to make it enforceable, unless that modification is not permitted by law, in which case that provision will be disregarded.

12.4. Notice to EntreStudios: You may send notice to EntreStudios by email at admin@entrestudios.com unless a specific email address is set out for giving notice. EntreStudios will consider an email notice received by the Company only when its server sends a return message to you acknowledging receipt.

12.5. Notice to You: You consent to receiving any notice from EntreStudios in electronic form either (1) by email to the last known email address the Company has for you, (2) a notification on your account, or (3) by posting the notice on a place on the Website chosen for this purpose.

12.6. Relationship of the Parties: These Terms do not create a partnership, joint venture, agency, franchise, or employment relationship between the parties.

12.7. Successors and Assigns: These Terms inure to the benefit of, and are binding on, the parties and their respective successors and assigns.

12.8. Communication Preferences: By registering for an account, you consent to receiving electronic communications from EntreStudios relating to your account.

12.9. Electronic Signatures: Any affirmation, assent, or agreement you send through the Website will bind you.
